Terms of Service and End User License Agreement

Last Updated: September 7, 2026

These Terms of Service and End User License Agreement (the "Terms") form a binding agreement between DEVRAFTEL (PRIVATE) LIMITED, a private limited company incorporated in Pakistan ("Devraftel," "we," "us," or "our"), and the business or organization that accesses or uses Devraftel Finance ("Customer," "you," or "your").

Devraftel operates Devraftel Finance, including its AI-powered finance and accounting employees, applications, APIs, integrations, websites, and related services (collectively, the "Services").

Our principal business address is:

DEVRAFTEL (PRIVATE) LIMITED
96 S, KB Colony
Lahore, Pakistan

By creating an account, accepting an order form, clicking to accept these Terms, or accessing or using the Services, you agree to these Terms on behalf of the organization you represent and confirm that you have authority to bind that organization.

If you enter into a separate written agreement, order form, data processing agreement, or similar contract with Devraftel, that agreement will control to the extent it expressly conflicts with these Terms.

1. Business Use

The Services are intended for businesses, accounting firms, finance teams, and other professional users.

You must be at least 18 years old and legally authorized to use the Services on behalf of your organization.

2. Definitions

For these Terms:

  • "AI Employee" means an AI-powered software worker made available through the Services, including the Staff Accountant or similar finance and accounting workers.
  • "Authorized User" means an individual whom Customer permits to access the Services.
  • "Connected Service" means a third-party application, platform, account, or system that Customer connects to the Services, including accounting software, ERP systems, file systems, communication tools, or similar business systems.
  • "Customer Accounting Data" means financial, accounting, bookkeeping, transaction, ledger, invoice, bill, vendor, customer, reconciliation, workpaper, and related information accessed from or supplied through Customer's systems.
  • "Customer Data" means Customer Accounting Data together with files, prompts, instructions, messages, workflow settings, approvals, outputs, and other information Customer submits to or authorizes the Services to process.
  • "Output" means an entry, analysis, report, message, workpaper, recommendation, classification, reconciliation, document, or other result generated through the Services.

3. The Services and AI Employees

3.1 AI-powered accounting and finance work

The Services provide AI-powered workers capable of performing finance, bookkeeping, accounting, and related operational tasks.

Depending on the capabilities enabled and the permissions Customer grants, an AI Employee may:

  • read and analyze accounting records and supporting documents;
  • review transactions;
  • classify and code transactions;
  • reconcile accounts;
  • prepare or create journal entries;
  • prepare schedules and workpapers;
  • identify exceptions and discrepancies;
  • create or update authorized accounting records;
  • generate reports and analyses;
  • retrieve documents and supporting evidence;
  • execute configured accounting workflows; and
  • perform other finance or accounting tasks requested by Customer.

Available capabilities may change as the Services develop.

3.2 "AI Employee" is product terminology

The terms "AI Employee," "Staff Accountant," "agent," "worker," and similar expressions describe software functionality.

An AI Employee is not a natural person and is not an employee, independent contractor, legal agent, fiduciary, auditor, attorney, tax adviser, certified public accountant, chartered accountant, or other licensed professional.

Nothing in these Terms creates an employment, partnership, joint venture, fiduciary, or legal-agency relationship between Customer and Devraftel or between Customer and an AI Employee.

3.3 Devraftel is a software provider

Unless Devraftel expressly agrees otherwise in a separate written agreement, Devraftel does not provide:

  • audit, assurance, or attestation services;
  • legal advice;
  • tax advice or tax representation;
  • investment advice;
  • regulated financial services;
  • certification of financial statements; or
  • any professional service that applicable law requires to be performed by a licensed individual or firm.

Customer remains responsible for determining when professional review, approval, certification, or advice is required.

4. Customer-Controlled Authorization

4.1 Read access

When Customer connects a company, client, account, or other data source to the Services, Customer authorizes the Services to read the information within the scopes and permissions Customer grants for the purpose of performing Customer's requested workflows.

4.2 Write access and other actions

Connecting a system does not, by itself, grant unlimited authority to modify that system.

Where the Services support actions that create, update, post, transmit, or otherwise modify information, those actions may be performed only within the permissions and policies Customer has configured.

Customer may control authorization by, among other things:

  • selecting the company or client on which the AI Employee may work;
  • selecting the systems or accounts the AI Employee may access;
  • selecting the types of data the AI Employee may use;
  • selecting the actions the AI Employee may perform;
  • requiring human approval for particular actions or thresholds; and
  • revoking or changing authorization.

The specific controls available may depend on the Connected Service and the capabilities of the Services.

4.3 Customer remains responsible for authorization

Customer is responsible for configuring permissions appropriate to its organization, internal controls, professional obligations, and risk tolerance.

Devraftel may impose additional safeguards, approval requirements, or restrictions where reasonably necessary for security, legal compliance, or safe operation of the Services.

5. Connected Services

Customer may authorize the Services to connect to third-party systems, including accounting software such as QuickBooks and other systems that Devraftel may support in the future.

When Customer connects a Connected Service, Customer authorizes Devraftel and the Services to access, retrieve, process, and, where specifically authorized, create or modify information through that Connected Service solely as necessary to perform Customer's instructions and configured workflows.

Customer represents and warrants that it has all rights and authority necessary to:

  • connect the Connected Service;
  • provide Devraftel access to the applicable data;
  • instruct the Services to process that data; and
  • authorize any actions the Services perform within the Connected Service.

Connected Services are operated by third parties and remain subject to their own terms, privacy policies, availability, and technical limitations.

Devraftel is not responsible for the acts, omissions, downtime, errors, security, or changes of a Connected Service.

Customer may revoke an integration through functionality provided by Devraftel or the applicable Connected Service.

6. Accounting Firms and Client Data

Accounting firms and other professional service providers may use the Services in connection with work performed for their clients where permitted by their subscription or agreement with Devraftel.

When Customer connects or provides information relating to one of its clients, Customer represents and warrants that it:

  • has authority to access and process the client's information;
  • has authority to connect the client's systems;
  • has obtained any notices, consents, or permissions required by law or contract;
  • has authority to instruct the AI Employee to perform the authorized work; and
  • remains responsible for its professional, contractual, regulatory, and fiduciary obligations to that client.

Use of the Services does not transfer Customer's professional obligations to Devraftel.

White-label, resale, service-bureau, or other third-party commercial use is permitted only where expressly authorized in a separate written agreement or applicable subscription.

7. AI Outputs and Customer Oversight

The Services use artificial intelligence and automated systems. Outputs may occasionally be inaccurate, incomplete, inconsistent, or unsuitable for a particular purpose.

Customer is responsible for applying appropriate oversight and internal controls.

Customer should review material work before relying on it where that work could affect:

  • financial statements;
  • tax positions;
  • statutory books or records;
  • regulatory filings;
  • payments or financial commitments;
  • contractual obligations; or
  • other material business decisions.

Approval controls, confidence thresholds, exception workflows, audit trails, or other safeguards provided by Devraftel supplement, but do not replace, Customer's own controls and professional judgment.

Devraftel does not guarantee that the Services will identify every accounting error, fraud event, anomaly, duplicate, misclassification, or compliance issue.

8. Human Access to Customer Accounting Data

Devraftel is designed so that routine support, analytics, and product operations do not require Devraftel personnel to review Customer Accounting Data.

Devraftel personnel may access Customer Accounting Data only in the following limited circumstances:

  1. Customer-authorized assistance. Customer expressly authorizes access for a defined support, onboarding, implementation, migration, troubleshooting, configuration, or similar purpose.
  2. Security and abuse. Access is reasonably necessary to investigate, contain, or respond to a security incident, fraud, abuse, or material threat to the Services.
  3. Legal obligation. Access is required by applicable law, regulation, court order, or lawful governmental process.
  4. Protection of rights and safety. Access is reasonably necessary to protect the rights, safety, security, or property of Devraftel, Customer, users, or others.

For Customer-authorized assistance, authorization must come from an Authorized User and may be provided through an in-product approval, support ticket, email, signed document, or other written electronic instruction that reasonably identifies the requested purpose.

When human access occurs, Devraftel will limit access to authorized personnel, the data reasonably necessary for the stated purpose, and the period reasonably necessary to complete that purpose. Access will be subject to confidentiality and security controls and will be logged where technically practicable.

Devraftel will not access Customer Accounting Data for advertising, generalized AI model training, or unrelated product analytics.

Customer may revoke prospective support authorization at any time, although revocation does not invalidate processing or work lawfully performed before revocation.

If Customer voluntarily provides financial information directly to Devraftel personnel, including in a support request, Devraftel may access and use that information to address the request for which it was provided.

9. Customer Responsibilities

Customer agrees to:

  • provide accurate and sufficiently complete information;
  • maintain appropriate accounting records and internal controls;
  • establish appropriate user roles, permissions, and approval policies;
  • review material exceptions and Outputs where appropriate;
  • retain required source documents and records;
  • comply with applicable accounting, tax, privacy, professional, and other laws;
  • use the Services only for lawful business purposes; and
  • ensure that its instructions do not cause the Services to violate applicable law or third-party rights.

Customer remains responsible for its books and records, financial statements, tax obligations, filings, payment decisions, regulatory obligations, and professional responsibilities.

10. License and Access Rights

Subject to these Terms and payment of applicable fees, Devraftel grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable subscription term to access and use the Services for Customer's authorized internal business purposes.

Except where expressly permitted by Devraftel, Customer may not:

  • resell, sublicense, rent, or commercially redistribute the Services;
  • provide the Services as a standalone product to third parties;
  • reverse engineer or attempt to derive source code except to the extent applicable law expressly permits;
  • copy or reproduce material portions of the Services;
  • systematically extract the Services' workflows, prompts, functionality, or data to build a competing product;
  • circumvent technical, security, access, or usage limitations; or
  • remove proprietary notices.

11. Accounts and Security

Customer is responsible for:

  • keeping account information accurate;
  • protecting login credentials and authentication mechanisms;
  • controlling Authorized Users;
  • configuring roles and permissions appropriately; and
  • activity performed through Customer's account.

Customer must promptly notify Devraftel at security@devraftel.com if it reasonably suspects unauthorized access, credential compromise, or a security incident involving the Services.

12. Acceptable Use

Customer may not use the Services to:

  • engage in unlawful, fraudulent, deceptive, or abusive activity;
  • violate another person's rights;
  • access systems or information without authorization;
  • bypass security, approval, or access controls;
  • introduce malware or harmful code;
  • disrupt or overload the Services;
  • impersonate a specific real person in a deceptive manner;
  • intentionally conceal disclosures that are legally required regarding interaction with an AI system; or
  • violate applicable third-party platform rules.

Customer must not instruct an AI Employee to take an action that Customer itself would not be legally permitted or authorized to take.

13. Customer Data

As between Customer and Devraftel, Customer retains its rights in Customer Data.

Customer grants Devraftel a limited, non-exclusive right to access, host, copy, transmit, process, and otherwise use Customer Data only as reasonably necessary to:

  • provide and secure the Services;
  • execute Customer's instructions;
  • maintain authorized workflow context;
  • support Customer-authorized integrations;
  • prevent fraud and abuse;
  • comply with applicable law; and
  • perform other activities Customer expressly authorizes.

Devraftel does not acquire ownership of Customer's accounting books, ledger, source records, or Connected Service accounts.

Where Devraftel processes personal data on Customer's behalf, Devraftel generally acts as a processor or service provider, as applicable.

14. System of Record

Customer's Connected Service remains the authoritative system of record for accounting information maintained in that system.

Devraftel does not intend to replace Customer's accounting system or maintain a separate complete copy of Customer's accounting ledger as the authoritative source.

The Services may temporarily process or retain portions of Customer Accounting Data, workflow context, conversations, Outputs, audit events, and other information necessary to perform authorized work and provide the Services.

Customer remains responsible for maintaining records that applicable law, accounting standards, contracts, or professional obligations require Customer to retain.

15. AI Model Training

Devraftel does not use Customer Data, Customer Accounting Data, prompts, Outputs, or information obtained from Connected Services to train generalized artificial-intelligence or machine-learning models.

Devraftel requires AI model providers used to process Customer Data to operate under terms or configurations that prohibit use of that data to train their general-purpose models.

Devraftel may use aggregated or de-identified usage information, operational metrics, product telemetry, and customer feedback to operate, secure, analyze, and improve the Services, provided such information does not identify Customer, its clients, or individuals and does not include Customer Accounting Data.

16. Outputs

Subject to these Terms and applicable law, Customer may use Outputs generated for Customer for its business purposes.

Because artificial intelligence may produce similar or identical content for different users, Outputs may not be unique.

Devraftel does not guarantee that any Output:

  • is eligible for copyright or other intellectual-property protection;
  • is unique to Customer;
  • is free from all third-party rights; or
  • is accurate or appropriate without review.

17. Confidentiality

Each party may receive non-public confidential information from the other.

The receiving party will:

  • use Confidential Information only for purposes relating to these Terms and the Services;
  • protect it using at least reasonable care;
  • disclose it only to personnel, affiliates, and service providers who need it and are subject to appropriate confidentiality obligations; and
  • disclose it when legally required only to the extent required.

Customer Data is Customer's Confidential Information.

Confidentiality obligations do not apply to information that the receiving party can demonstrate:

  • is publicly available without breach of an obligation;
  • was lawfully known without confidentiality restriction;
  • was independently developed without using the disclosing party's Confidential Information; or
  • was lawfully obtained from another source without confidentiality restriction.

18. Fees, Billing, Taxes, and Refunds

Customer will pay the fees specified in the applicable subscription, checkout flow, usage schedule, or Order Form.

The Services may include a fixed recurring subscription fee, usage-based charges, monthly or annual billing, trial periods where expressly offered, and other pricing components disclosed before purchase.

Where a trial is offered, the applicable trial period and conditions will be stated at signup or checkout. Customer must cancel before the stated trial ends to avoid the first paid subscription charge, unless otherwise disclosed.

Payment Provider

Finance does not currently offer a standard online checkout. If checkout is introduced, the applicable payment provider or Merchant of Record, fees, taxes, and purchase terms will be disclosed before payment.

Renewals and Cancellation

Subscriptions may automatically renew according to the applicable monthly or annual billing term unless cancelled before renewal.

Customer may cancel at any time. Unless otherwise stated, cancellation takes effect at the end of the current paid billing period and Customer retains access through that period.

Cancellation does not itself create a right to a refund for an already completed transaction, except where required by applicable law or where a discretionary refund is approved.

Refunds

Unless otherwise required by applicable law, purchases are generally non-refundable and non-exchangeable.

Devraftel may review refund requests on a case-by-case basis and, where appropriate, approve a full refund, partial refund, or decline the request.

Nothing in these Terms limits refund or cancellation rights that cannot legally be excluded or restricted.

Where a third party processes a purchase as Merchant of Record, any approved or legally required refund may be processed through that provider in accordance with the applicable payment arrangement and its terms.

Additional refund terms are available at:

https://finance.devraftel.com/refund-policy

19. Service Changes

Devraftel may modify, improve, add to, or discontinue features of the Services.

Where reasonably practicable, Devraftel will provide notice before materially discontinuing core paid functionality.

Changes may be made without advance notice where reasonably necessary to address security, legal, third-party platform, infrastructure, or urgent operational requirements.

20. Suspension and Termination

These Terms remain effective while Customer accesses or uses the Services.

Devraftel may suspend or terminate access if Customer:

  • materially breaches these Terms;
  • fails to pay applicable fees;
  • creates a material security or legal risk;
  • uses the Services unlawfully;
  • abuses the Services; or
  • causes material harm to Devraftel, other users, or third parties.

Where reasonably practicable, Devraftel will provide notice and an opportunity to cure a remediable breach before termination.

Customer may stop using the Services and terminate its subscription according to the applicable subscription terms.

Upon termination, Customer's right to use the Services ends, subject to reasonable data export or deletion procedures and legal retention requirements.

21. Intellectual Property

Devraftel and its licensors retain all rights, title, and interest in and to the Services, including software, models, orchestration systems, workflows, interfaces, APIs, documentation, designs, methods, and underlying technology.

No rights are granted except those expressly stated in these Terms.

If Customer provides feedback or suggestions, Customer permits Devraftel to use that feedback to improve its products and services without restriction or compensation, provided Devraftel does not disclose Customer's Confidential Information.

22. Privacy and Security

Devraftel's processing of personal information is described in the Devraftel Finance Privacy Policy available at:

https://finance.devraftel.com/privacy

Customer's use of the Services is also subject to that Privacy Policy.

Where required by applicable law or Customer's agreement with Devraftel, the parties may enter into a separate Data Processing Agreement.

23. AI Transparency

Where applicable law requires disclosure that a person is interacting with an AI system, the Services may identify the AI Employee as an artificial-intelligence system.

Customer may not intentionally disable, remove, conceal, or circumvent an AI disclosure that Devraftel implements to comply with applicable law.

Customer remains responsible for any additional notices it is legally required to provide when deploying an AI Employee in its own communications or workflows.

24. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

DEVRAFTEL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

DEVRAFTEL DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
  • AI OUTPUTS WILL ALWAYS BE ACCURATE, COMPLETE, OR APPROPRIATE;
  • ALL ERRORS, FRAUD, ANOMALIES, OR COMPLIANCE ISSUES WILL BE DETECTED;
  • THE SERVICES WILL SATISFY CUSTOMER'S PROFESSIONAL, ACCOUNTING, TAX, OR REGULATORY OBLIGATIONS;
  • CONNECTED SERVICES WILL REMAIN AVAILABLE OR UNCHANGED; OR
  • USE OF THE SERVICES WILL PRODUCE ANY PARTICULAR BUSINESS OR FINANCIAL RESULT.

25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST GOODWILL, OR LOSS OF DATA ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVRAFTEL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO DEVRAFTEL FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability that applicable law does not permit to be excluded or limited.

26. Indemnification

Customer will defend, indemnify, and hold harmless Devraftel and its officers, directors, employees, and affiliates from third-party claims, liabilities, damages, and reasonable costs arising from:

  • Customer's unlawful use of the Services;
  • Customer's material breach of these Terms;
  • Customer Data supplied without required rights or authority;
  • Customer's instructions that violate applicable law or third-party rights; or
  • Customer's use of the Services for a client without sufficient authority.

Devraftel will promptly notify Customer of a covered claim and provide reasonable cooperation at Customer's expense.

27. Force Majeure

Neither party will be liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, internet or telecommunications failures, widespread cloud-service outages, labor disruptions, or failures of third-party infrastructure.

This section does not excuse Customer's obligation to pay amounts already due.

28. Changes to These Terms

Devraftel may update these Terms from time to time.

If an update materially affects Customer's rights or obligations, Devraftel will provide reasonable notice where required by applicable law.

The updated Terms will state their effective date. Continued use of the Services after the effective date constitutes acceptance of the updated Terms to the extent permitted by law.

29. Governing Law and Disputes

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles.

Before commencing formal legal proceedings, each party will make reasonable good-faith efforts to resolve the dispute informally for at least thirty (30) days after written notice of the dispute.

Subject to any mandatory law that requires otherwise, the courts of Lahore, Pakistan will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.

30. General

Customer may not assign these Terms without Devraftel's prior written consent, except in connection with a merger, reorganization, or sale of substantially all of Customer's business or assets.

Devraftel may assign these Terms to an affiliate or in connection with a merger, financing, reorganization, acquisition, or sale of its business or assets.

If any provision is held unenforceable, the remaining provisions remain effective.

Failure to enforce a provision does not waive that provision.

Headings are for convenience only.

These Terms, the Privacy Policy, the Refund Policy, any applicable order form, and any other agreement expressly incorporated by reference constitute the entire agreement between Customer and Devraftel concerning the Services and supersede prior discussions or agreements concerning the same subject matter.
